End-User License Agreement (EULA) for ImageStuff, Inc. ERP Application(SLERP)

This End-User License Agreement ("EULA") is a legal agreement between you, the employee of ImageStuff, Inc. ("Company"), and ImageStuff, Inc. regarding your use of the SLERP application ("Application"). By accessing or using the Application, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you are not authorized to use the Application.

1. Grant of License

Subject to the terms and conditions of this EULA, the Company grants you a non-exclusive, non-transferable, revocable, limited license to use the Application solely for internal business purposes of ImageStuff, Inc. and in accordance with your employment duties.

2. Restrictions on Use

You agree not to, and will not permit others to:

  • a. Use the Application for any purpose other than the internal business operations of ImageStuff, Inc.

  • b. Copy, modify, adapt, translate, or create derivative works of the Application.

  • c. Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Application.

  • d. Sell, rent, lease, sublicense, distribute, or otherwise transfer rights to the Application.

  • e. Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Application.

  • f. Use the Application in any manner that violates any applicable laws or regulations.

  • g. Introduce any viruses, worms, or other malicious code into the Application or the Company's systems.

  • h. Share your login credentials or allow unauthorized access to the Application.

3. Ownership

The Application, including all intellectual property rights therein, is and shall remain the sole and exclusive property of ImageStuff, Inc.. This EULA grants you a limited right to use the Application, but does not transfer any ownership rights to you.

4. Confidentiality

You acknowledge that the Application and any information accessed through it, including but not limited to business processes, data, and proprietary information, are confidential and proprietary to ImageStuff, Inc.. You agree to maintain the confidentiality of such information and to use it only for the Company's business purposes. Your obligations regarding confidentiality shall survive the termination of your employment.

5. Disclaimer of Warranty

THE APPLICATION IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

6. Limitation of Liability

IN NO EVENT SHALL ImageStuff, Inc. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APPLICATION; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APPLICATION; (III) ANY CONTENT OBTAINED FROM THE APPLICATION; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

7. Termination

This EULA is effective until terminated. Your license to use the Application will terminate automatically without notice from the Company if you fail to comply with any provision of this EULA. The Company reserves the right to terminate your access to the Application at any time, with or without cause, in its sole discretion. Upon termination, you must cease all use of the Application. Sections 3, 4, 5, 6, 8, and 9 shall survive any termination of this EULA.

8. Governing Law

This EULA shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles. Any legal action or proceeding arising under this EULA shall be brought exclusively in the courts located in [Your City, State/Country].

9. Entire Agreement
